Terms & Conditions

1. Scope of Services

SetAIO provides a range of digital growth and technology services, which may include:

• AI Optimization (AIO/GEO/AEO): Optimizing a business’s visibility across AI-driven search and answer engines (e.g., ChatGPT, Gemini, AI Overviews, voice search).
• SEO: Technical, on-page, and content optimization to improve organic search rankings.
• Google Business Profile (GBP) Management: Setup, optimization, and ongoing management of local listings.
• CRM Setup & Automation: Implementation and configuration of CRM systems, workflow automation, and lead management tools.
• Web & App Development: Design, development, and deployment of websites and applications.
• Web Hosting: Server hosting and related infrastructure support.
• AI Phone Callers: AI-powered voice agents that answer inbound calls, book, reschedule, and cancel appointments, and answer customer questions around the clock.
• AI Chatbot: Website chat agents that answer common questions, capture leads, and book appointments directly in the chat.
• Social Media: Content creation, scheduling, community management, and profile optimization across the platforms your customers use.
• PPC Advertising: Setup, management, and optimization of paid campaigns (e.g., Google Ads, Meta Ads) to drive qualified leads and measurable return on ad spend.

The specific services, deliverables, timelines, and fees applicable to a Client are defined in the applicable Service Agreement, Proposal, Order Form, or Invoice (“Order”), which forms part of these Terms. Any service not explicitly listed in the Order is outside the scope of engagement unless agreed in writing.

SetAIO reserves the right to modify, discontinue, or update the tools, platforms, or methods used to deliver services, provided the agreed-upon outcomes and deliverables are not materially diminished.

2. Client Responsibilities

The Client agrees to:

• Provide accurate, complete, and timely information, access, and materials (e.g., account credentials, brand assets, content, business information) required for SetAIO to perform the services.
• Designate a point of contact authorized to approve deliverables, provide feedback, and make decisions on the Client’s behalf.
• Respond to requests for feedback, approvals, or information within a reasonable time (typically 3–5 business days), as delays caused by the Client may extend project or campaign timelines without penalty to SetAIO.
• Maintain the confidentiality and security of any login credentials shared with or by SetAIO.
• Ensure that all content, materials, and business information provided comply with applicable laws and do not infringe on any third party’s rights.
• Not use SetAIO’s services for any unlawful, fraudulent, misleading, or malicious purpose.

SetAIO reserves the right to pause, delay, or terminate services if the Client fails to meet these responsibilities, without liability for any resulting delay in results or deliverables.

3. Fees & Payment

• Fees for services are set out in the applicable Order and may be structured as one-time project fees, monthly retainers, or milestone-based payments.
• Payment is due according to the schedule specified in the Order.
• SetAIO reserves the right to pause or suspend services for accounts with overdue payments.
• Recurring services (e.g., monthly SEO, AIO, GBP management, or hosting) automatically renew for successive terms unless cancelled by either party with the notice period specified in the Order (or, if unspecified, at least 15 days before the renewal date).
• All fees are exclusive of applicable taxes unless stated otherwise.
• By providing payment information, the Client authorizes SetAIO to charge the agreed amount(s) according to the payment schedule in the Order.

4. Nature of Results (SEO, AIO, GBP & Marketing Services)

The Client acknowledges and agrees that:

• SEO, AIO, AEO, GEO, and GBP optimization involve third-party platforms (e.g., Google, AI search engines) whose algorithms, guidelines, and ranking factors are outside SetAIO’s control and subject to change without notice.
• SetAIO does not guarantee specific rankings, traffic volumes, lead counts, AI citation frequency, or revenue outcomes. Results vary based on industry, competition, market conditions, and platform changes.
• Meaningful, measurable results from optimization services typically take time (often 60–180 days) to materialize and may continue to develop after the engagement ends.
• SetAIO commits to performing the agreed scope of work using current best practices; it does not warrant or guarantee any specific performance metric unless explicitly stated in a written Order.

5. Web & App Development Services

• Development projects are scoped, priced, and timelined in a separate Order or project agreement.
• Client-requested changes outside the original scope (“scope creep”) may incur additional fees and extend timelines, subject to written agreement.
• Upon full payment, the Client receives ownership of the final custom deliverables (e.g., website files, app code) unless otherwise stated. Third-party licenses, plugins, themes, or stock assets remain subject to their own licensing terms.
• SetAIO may retain the right to display completed work in its portfolio and marketing materials unless the Client requests otherwise in writing.

6. Intellectual Property

• All pre-existing tools, frameworks, processes, and proprietary methodologies used by SetAIO remain the property of SetAIO.
• Content, designs, and deliverables created specifically for the Client and fully paid for become the property of the Client upon full payment, except for underlying SetAIO tools, templates, or third-party components used to produce them.
• The Client grants SetAIO a license to use Client-provided materials (logos, content, business information) solely for the purpose of delivering the agreed services.

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical, financial, or strategic information disclosed during the engagement, and to use such information solely for purposes of fulfilling the Agreement. This obligation survives termination of the engagement.

8. Limitation of Liability

SetAIO’s total liability arising from or related to any service shall not exceed the total fees paid by the Client for the specific service giving rise to the claim in the preceding three (3) months.

SetAIO shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, lost data, or loss of business opportunity, even if advised of the possibility of such damages.

SetAIO is not liable for outcomes resulting from third-party platform changes (e.g., Google algorithm updates, AI model changes, hosting provider outages) beyond its reasonable control.

9. Termination

• Either party may terminate a recurring service agreement by providing written notice per the term specified in the applicable Order.
• SetAIO reserves the right to suspend or terminate services immediately if the Client breaches these Terms, fails to pay fees when due, or uses the services for unlawful purposes.
• Termination does not relieve the Client of the obligation to pay for services already rendered or work already in progress.

10. Dispute Resolution & Chargebacks

The Client agrees to contact SetAIO directly to attempt to resolve any billing dispute before initiating a chargeback with a card issuer or payment processor.

In the event of a chargeback or payment dispute, SetAIO may submit relevant records — including signed agreements, proof of payment, delivery/activation records, and communication history — to the payment processor or financial institution to contest the dispute.

Any dispute arising from these Terms shall first be addressed through good-faith negotiation between the parties before pursuing formal legal action.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles, unless otherwise required by applicable consumer protection law in the Client’s jurisdiction.

12. Changes to These Terms

SetAIO may update these Terms from time to time. Continued use of services after an update constitutes acceptance of the revised Terms. Material changes affecting active agreements will be communicated to the Client in advance where reasonably possible.

13. Entire Agreement

These Terms, together with the applicable Order, Proposal, or Service Agreement, constitute the entire understanding between the parties and supersede all prior discussions, negotiations, and agreements, whether written or oral. Amendments must be made in writing and agreed to by both parties.
